These terms govern your use of the ePeople.ai website, platform, and AI agents. Please read them carefully.

01Acceptance of these terms

Welcome to ePeople.ai. These Terms of Use ("Terms") govern your access to and use of the ePeople.ai website, platform, AI agents, and related services (together, the "Services"), operated by ePeople.ai ("ePeople," "we," "us," or "our").

By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you are entering into these Terms on behalf of a facility, organization, or other entity, you represent that you have the authority to bind that entity, and "you" refers to that entity.

02Eligibility & accounts

You must be at least 18 years old and capable of forming a binding contract to use the Services. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

  • Provide accurate, current, and complete information when creating an account.
  • Keep your login credentials secure and notify us promptly of any unauthorized use.
  • You are responsible for the conduct of all users you authorize within your organization's account.

03Acceptable use of the Services

You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Services in any way that violates applicable federal, state, or local laws or regulations, including healthcare, labor, and privacy laws.
  • Attempt to gain unauthorized access to any portion of the Services, other accounts, or our systems.
  • Interfere with or disrupt the integrity or performance of the Services.
  • Reverse engineer, decompile, or attempt to extract the source code of the Services, except as permitted by law.
  • Use the Services to transmit malware, or to harvest or collect information about others without consent.

04AI agents & automated outputs

The Services include autonomous AI agents that assist with staffing, time & attendance, labor-law compliance, HR and training, and admissions workflows. You understand and agree that:

  • AI-generated outputs, recommendations, and automations are tools to support โ€” not replace โ€” your professional judgment and human oversight.
  • You remain responsible for reviewing exceptions, approving actions where required, and ensuring compliance with all laws applicable to your facility.
  • While we design the Services to support compliance, ePeople does not guarantee any specific regulatory, survey, or legal outcome.

Humans stay in control. Our agents handle routine work and surface exceptions; final decisions and legal responsibility rest with your organization.

05Customer data & responsibilities

You retain all rights to the data your organization submits to the Services ("Customer Data"). You grant ePeople a limited license to process Customer Data solely to provide and improve the Services, as described in our Privacy Policy.

  • You are responsible for the accuracy and legality of the Customer Data you provide.
  • You are responsible for obtaining any consents required to share employee, resident, or applicant information with the Services.
  • Where the Services process protected health information or personal data, the parties will enter into any additional agreements required by law (for example, a Business Associate Agreement or Data Processing Addendum).

06Intellectual property

The Services, including all software, AI models, designs, text, graphics, and the ePeople.ai brand and logo, are owned by ePeople or its licensors and are protected by intellectual-property laws. Except for the limited right to use the Services under these Terms, no rights are granted to you.

07Third-party services & integrations

The Services may integrate with or link to third-party software and systems (for example, your existing scheduling, HRIS, payroll, or referral systems). ePeople is not responsible for the content, policies, or practices of third-party services, and your use of them is governed by their own terms.

08Disclaimers

The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, ePeople disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or that outputs will be wholly accurate or complete.

09Limitation of liability

To the fullest extent permitted by law, ePeople and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from your use of the Services. Our total liability for any claim arising out of these Terms or the Services will be limited as set forth in your applicable order or subscription agreement.

10Termination

You may stop using the Services at any time. We may suspend or terminate your access if you violate these Terms or if we are required to do so by law. Upon termination, the provisions of these Terms that by their nature should survive will remain in effect, including intellectual-property, disclaimer, and limitation-of-liability provisions.

11Changes to these terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date and, where appropriate, provide additional notice. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
